REASONS FOR DECISIONS

[128] "The receiver and the County have failed to persuade me on the evidence that the board lacks the capacity to resume governance with appropriate training and mentoring."


[129] "Matthew Co-Op and CHFC submit that the financial situation for Matthew Co-Op is not urgent. The Policy goals in the CCA and the SHRA, together with the unfairness of the process leading to the County of Simcoe's approval of the sale of the assets militate against court approving the sale of the assets of Matthew Co-Op and in favour of returning governance to the board. They argue that governance should be returned to the board, and if Matthew Co-Op fails again, then the County of Simcoe has a clear remedial path under the SHRA that it can take at that time without seriously endangering its financial position in the meantime."


[130] "In these motions the Receiver and the County of Simcoe unsuccessfully pursued approval of the sale and the vesting order. They did not respond in any detail to the governance transition plan proposed by the Board of Matthew Co-Op and CHFC that would see governance eventually resumed by the Board. I am not prepared to consider such a plan without the advice of the Receiver and County, and further evidence and submissions."


[131] "I direct the parties to arrange a date before the end of September 2010 with the trial co-ordinator for additional submissions on the appropriate next steps."
