Prentice Yates & Clark  ("PYC") are the Auditor's for many Non-Profit Housing Co-operatives in the Provence of Ontario.


The PYC Website list the names and contact information for Partners and Staff CA's.

Submit your written audit inquires directly to the auditor's, and your Co-op board of directors prior to your Co-op's AGM.


The auditor's must answer inquires: At any meeting of members', the auditor, if present, shell answer audit inquires directed to the auditor concerning the bases upon which the auditor formed the opinion stated in the report made under subsection (2). R.S.O. 1990, c. C.35, s. 127 of The Co-operative Corporations Act ("CCA")


You can file a complaint against the auditors', if you make claims the auditor refused to answer audit inquires as stated in the CCA through the superior court of Ontario...


In Ken's view, CPA Ontario and ICAO representatives seem to exhibit a smug arrogance with their audacity to flaunt their by-laws and rules at Ken that pander and protect their Membership such as PYC, as well on behalf of their Member Clients over and above the Laws of Ontario that include the CCA... that are based in Ken's prior complaints filed against PYC and/or its Partners as Members of Chartered Professional Accountants of Ontario (CPA Ontario) AKA, the Institute of Chartered Accountants of Ontario (ICAO) and the Public Accountants Council for the Province of Ontario. 

 

Ken claims that the PYC CA refused to answer audit questions, and Mr. Shawn Conway, Chairperson interfered, and called Ken Out of Order at the Co-op AGM held January 24, 2017.  

 

Ken claims to had communicated Points of information at the AGM that include some of the following: 2) In Ken's view, the Co-op Board of Directors, Management, and PYC had previously demonstrated that they don't respect Ken's legal requests, and don't follow the Rule of Law contained in section 127(14), and s. 133 of the Co-operative Corporations Act. 

 

3) In Ken's opinion, Chartered Professional Accountants Ontario (CPA), and the Public Accountants Council for the Province of Ontario had used their by-laws to circumvent section 127(14) of the CCA that pander to their dues paying member Chartered Accountants that in turn pander to their CA clients like Athol Green Co-operative Homes using for example, CPA rules of professional conduct, rule 208. A Court order may compel compliance of the CCA...

 

In Ken's view, the Co-operative Housing Federation of Toronto (CHFT) provided a Meeting Chairperson facilitator (Mr. Shawn Conway) that was neither, objective, fair or impartial during this portion of the meeting at Athol Green Co-operative Homes Inc. Ken is opposed to CHFT providing any facilitator's at future meetings held at the Co-op.

The CPA Ontario letter dated April 16, 2014 stated in part and I quote from it ..."The Professional Conduct Committee (the "Committee") has carefully considered the matter which you brought to its attention concerning Prentice Yates & Clark."

 

 "Our Bylaws and Regulations charge the Committee with the responsibility for administering the rules of professional conduct."..."The Committee is investigative, not adjudicative, and any conclusions reached by the Committee, including any guidance provided to a member, are based on information obtained through the investigative process that has not been tested in a formal hearing."...

 

"The Committee has been provided with a number of discretionary powers to assist it in administering the rules. These include: the power, in its absolute discretion, to make allegation of professional misconduct and refer the allegations to the Discipline Committee for a formal hearing; the power to provide guidance and advice to a member, whether or not allegations are made; and the power to close the file pertaining to its review and take no further action."...

 

"After deliberation, the Committee was of the view that the Ontario Co-operative Corporations Act does not entitle you to request the information from the auditors." ... "Furthermore, had the engagement partner provided you with the information requested, that Member would have been in breach of Rule 208 as they were directed by their client not to respond to you." and "The Committee concluded that the information provided did not appear to indicate of a breach of the rules of professional conduct by the engagement partner or Prentice Yates & Clark. Consequently, the Committee has closed the file."...

COMMENT: CPA Ontario and Prentice Yates & Clark representatives refused to disclose the name(s) of the PYC CA responsible for the subject engagement at Athol Green co-op:

The CPA Ontario letter dated February 18, 2014 stated in part and I quote from it ..."The Professional Conduct Committee (the "Committee") has carefully considered the matter which you brought to its attention concerning Jerry J. Pauze, CPA, CA."...

 

"After deliberation, the Committee was of the view that, as per the Ontario Co-operative Corporations Act section 127(13), a member of the co-operative can require the auditor's attendance at a members meeting and per section 127(14) the auditor shall answer inquires directed to the auditor "concerning the bases upon which the auditor formed the opinion stated in the report...

 

"Most of the queries provided by you relate to detailed questions regarding specific revenue and expense items, which would be more appropriately responded to by management rather than the auditor." ...

 

"In addition, Mr. Pauze was specifically instructed by his client not to respond to your additional queries. Rule 208, of the Rules of Professional Conduct, prohibits a Member from releasing confidential client information without client authorization." and "There did not appear to be any indication of a breach of the rules of professional conduct by Mr. Pauze. Consequently, the Committee has closed the file."... 

 

The CPA Ontario letter dated January 10, 2014 stated in part and I quote from it ..."The PCC has broad discretionary powers, and may choose not to refer a matter to the Discipline Committee even when it is of the view that a Member's conduct may have breached a rule."..."CPA Ontario does not have the power to compel a Member to perform acts in relation to third parties. These powers are exercised by the courts."  

 

 

The Athol Green Co-operative Homes Inc. AGM minutes dated February 26, 2013 stated in part and I quote from it..."Questions were asked from Ken Hummel. Items such as how much laundry funds, parking funds, interest earned on reserve fund records."..."Ken reported that he felt that Daniel DiVitorio had not answered all his questions as requested and therefore he would be taken his complaint to the ICAO against PYC."

 

 

"MOTION:    To CONFIRM that the auditor (Daniel DiVitorio) has answered all questions and presented the 2011-2012 audit with the support of the Membership of Athol Green Co-operative Homes Inc and that any further requests or action against PYC or its representatives by Ken Hummel is NOT supported by the Membership."..."M/S/C Leanne Marleau/Holly Kotilehti (Ken opposed)"...

The ICAO letter dated August 11, 2008 stated in part and I quote from it..."The Professional Conduct Committee (the "Committee") has carefully considered the matter which you brought to our attention concerning Mr. Jerry J. Pauze, CA."...

 

"In this case, the Committee conducted a thorough review of the information provided to it by both you and the member. After deliberation, the Committee concluded that the information provided did not indicate a breach of the rules of professional conduct. Specifically, it indicates that the auditors did not attend the January 22, 2008 and April 29, 2008 meetings of Athol Green Co-operative Homes Incorporated ("co-op") based on the instructions of the co-op's management and did attend the July 22, 2008 meeting of the co-op as requested by you. Although you continue to be unsatisfied by the auditors' responses to your questions, there is no indication of a breach of the rules or of the Co-operative Corporations Act by the auditors."...

Non-Profit Housing Co-operatives are vulnerable to embezzlement by their vary nature.
